Google Buys dMarc Broadcasting, Deal Potentially Worth Over $1B

Mountain View-based search engine giant Google this morning said that it has agreed to acquired Newport Beach-based dMarc Broadcasting, in a deal worth $102M plus $1.136 billion in contingent payments over the next 3 years. Google said that it will incorporate dMarc technology into the Google AdWords platform, to create a new radio ad distribution channel for Google advertisers. dMarc provides technology for connecting advertisers to radio stations through an automated advertising platform. Google said that it will be obligated to make the additional contingent cash payments if certain product integration, net revenue, and advertising inventory targets are met over the next three years. The acquisition is expected to close in the first quarter of 2006.
