Los Angeles-based private equity firm Platinum Equity is acquiring a New Jersey provider of telecommunications products, Ulticom Inc., in a $90M deal, Ulticom said late Tuesday evening. According to Ulticom, it is in a definitive merger agreement with affiliates of Platinum Equity, which will take Ulticom private. the deal is worth $2.33 per share in cash, after a special dividend of $5.74 per share in cash. Ulticom's controlling sharehoolder is Comverse Technology. Ulticom was advised by Morgan Keegan Technology Group, Duff & Phelps LLC, Weil, Gotshal & Manges LLP, and Flaster/Greenberg P.C. Platinum Equity was advised by Paul, Hastings, Janofsky & Walker LLP in the deal.
